1. Acceptance of Terms

Welcome to LingoShade! These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and LingoShade ("we," "us," or "our") regarding your access to and use of the LingoShade language learning application and services (collectively, the "Service").

By accessing, registering for, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to use the Service. If you are under 18, you represent that you have obtained consent from your parent or legal guardian to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You may register using your email address or through third-party authentication providers (Google, Apple, Microsoft). You agree to provide accurate, current, and complete information during the registration process.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Immediately notify us of any unauthorized use of your account

• Ensure that you log out from your account at the end of each session

• Not share your account credentials with third parties

We are not liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 Account Information

You agree to keep your account information up to date. You may update your information through your account settings. We reserve the right to suspend or terminate accounts with incomplete or inaccurate information.

4. Description of Service

LingoShade is a language learning platform that uses the shadowing method to help users improve their language skills. The Service includes:

• Access to curated language learning content (texts, audio)

• Interactive practice exercises (reading, listening, speaking, dictation)

• Speech synthesis and audio playback features

• Progress tracking and personalized learning analytics

• Vocabulary management and study tools

• Premium subscription features (for paid users)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

5. Free and Paid Services

5.1 Free Service

LingoShade offers a free tier with limited features. We may impose limits on certain features or restrict access to parts of the Service without notice or liability.

5.2 Subscription Plans

We offer paid subscription plans that provide access to premium features. By purchasing a subscription, you agree to pay the applicable fees as described at the time of purchase. Subscription fees are charged in advance on a recurring basis (monthly, annually, or as otherwise specified).

5.3 Payment and Billing

• Payment Processing: Payments are processed by our third-party payment processor, Stripe. You agree to provide valid payment information and authorize us to charge your payment method.

• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

• Price Changes: We reserve the right to change subscription prices. You will be notified of any price changes in advance, and changes will take effect at your next renewal.

• Taxes: You are responsible for any applicable taxes, and we will charge tax when required by law.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to premium features until the end of the paid period.

We generally do not provide refunds or credits for partial subscription periods. All refund requests are processed by our payment processor, Stripe, in accordance with their policies and applicable law. If you believe you are entitled to a refund, please contact us at lingoshade@lsnlab.com.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights

• Use the Service for any illegal, harmful, or fraudulent purpose

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

• Infringe upon the intellectual property rights of others

• Attempt to gain unauthorized access to the Service, other user accounts, or computer systems

• Interfere with or disrupt the Service or servers or networks connected to the Service

• Use any automated means (bots, scrapers, crawlers) to access the Service without our prior written permission

• Reverse engineer, decompile, or disassemble any aspect of the Service

• Remove, obscure, or alter any copyright, trademark, or other proprietary notices

• Resell, redistribute, or commercially exploit the Service or its content

• Impersonate any person or entity or misrepresent your affiliation with any person or entity

• Use the Service to send spam, phishing attempts, or unsolicited communications

Violation of this Acceptable Use Policy may result in suspension or termination of your account and legal action.

7. Intellectual Property Rights

7.1 Our Content

The Service, including all content, features, functionality, software, text, graphics, audio, video, and other materials (collectively, "Our Content"), is owned by LingoShade or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of Our Content without our prior written permission.

7.2 User-Generated Content

You retain ownership of any content you create or upload to the Service (e.g., audio recordings, vocabulary lists). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display your content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to any content you upload and that your content does not violate any third-party rights or applicable laws.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without compensation or attribution to you.

7.4 AI-Generated Outputs and Public Texts

Parts of the Service enable the generation of content using artificial intelligence models ("AI-Generated Content"). Unless expressly stated otherwise in the Service, AI-Generated Content is created by or for LingoShade as part of the Service output and is not owned by you. Where the Service allows you to mark content as private, your private content remains your User-Generated Content under Section 7.2 and is processed in accordance with our Privacy Policy.

Any AI-Generated Content or text that you choose to publish or make available to others within the Service (collectively, "Public Texts") does not belong to you. By contributing prompts, selections, edits, or other inputs that result in Public Texts, you acknowledge and agree that LingoShade (and its licensors) may host, use, reproduce, modify, adapt, translate, publish, publicly perform, publicly display, distribute, and create derivative works from such Public Texts for any purpose related to operating, improving, and promoting the Service without compensation or attribution to you.

To the extent permitted by applicable law, you waive (and agree not to assert) any moral rights or similar rights you may have in Public Texts. Nothing in this Section limits your rights with respect to private content you upload or create and keep private under Section 7.2.

If you delete your account or request erasure of your personal data, we may retain Public Texts in de-attributed or anonymized form (i.e., without personal identifiers or account linkage), while removing or de-attributing your authorship/association to the extent feasible and permitted by law.

8. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources. We do not endorse and are not responsible for the content, products, or services of third parties. Your interactions with third-party services are solely between you and the third party, and you should review their terms and privacy policies.

9. Disclaimers and Limitations of Liability

9.1 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free

• The results obtained from using the Service will be accurate or reliable

• Any errors or defects in the Service will be corrected

• The Service will meet your specific requirements or expectations

9.2 No Guarantee of Learning Outcomes

While we strive to provide high-quality language learning content and tools, we do not guarantee any specific learning outcomes, language proficiency improvements, or exam results. Your success depends on various factors, including your effort, dedication, and individual learning abilities.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LINGOSHADE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless LingoShade, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms

• Your use or misuse of the Service

• Your violation of any rights of a third party

• Any content you upload or submit to the Service

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting your account through the Service settings or by contacting us at lingoshade@lsnlab.com.

11.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause or notice, for any reason, including but not limited to:

• Violation of these Terms

• Fraudulent, abusive, or illegal activity

• Extended periods of inactivity

• Requests by law enforcement or government agencies

11.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease

• We may delete your account and associated data, subject to applicable law and our data retention policies

• You remain liable for any obligations incurred prior to termination

• Sections of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to contact us at lingoshade@lsnlab.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute in good faith within 30 days.

12.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except as otherwise provided herein.

The arbitration shall be conducted in [Jurisdiction], and the arbitrator's decision shall be final and binding. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.

12.3 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement or misappropriation of intellectual property rights.

12.4 Governing Law

13. General Provisions

13.1 Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email, through the Service, or by posting a notice on our website. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements we publish on the Service, constitute the entire agreement between you and LingoShade regarding the Service.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the extent necessary to make it valid and enforceable.

13.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

13.6 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13.7 Language

These Terms are provided in English. Translations may be available for convenience, but the English version shall prevail in case of any conflict.
